Nature of our network Existing legal relationships among our network partners (contractor/subcontractor, partnership, memorandum of understanding, … ) • Counties – 33 • Non-profit – 19 CCTP - Service Provider Agreement MOUs for ADRCs A few MOUs between AAAs & CILs Contracts between AAA No mou exists between all of our partners MOUs between some of the CILS

Nature of our network Our next step(s) to further develop the capability of our network: • Are you in or are you out • Formalize the relationship • One llc would not preclude you from establishing others • Stated purpose and commitment to move forward to do the LLC • Get some legal advice • Someone from Wojdak – PCA • Corporate Law firm need- various options of a structure of corporate include an auditor in the discussion as well • Operating agreement – would have to agree to let additional members in • LLc could have different level of membership – full – financial stake and revenue sharing – associate members

Our network as a community asset The next action(s) we will take to develop the image and influence of our network: • Do the market analysis • Smeal School of Business- Penn State • Wharton • Carnegie • Decide who is in and who is not • Marketing- how can we describe this endeavor • Key stakeholders – who do you know or can call upon?

Organizational issues we need to address • Need to decide who is in and who is out, philosophically - not necessarily legally • Develop the executive management team • Need to make sure we include not those that are in the room. • If we establish the LLC, some may need to put up money – does that change the level of organizational membership • Social enterprise foundations – small business development centers • Look at Foundations- that look at capacity building • Need to figure out IT – including electronic health records

Some County and the non-profit foundations • CCTP sites can bill for CCPT • PCA & Veterans • NHT • Waiver providers • Blair and 4 in south east can bill privately

Our network as a business enterprise Special requirements we must meet to secure and deliver on a contract • We have to have a contracting organization or organizations • Need an It system- SAMS is just a workflow management system. It does not have the performance monitoring capabilities and data analytics to position us to be more competitive • “Home Tracks” system

Our network as a business enterprise Action steps(s) we will take to strengthen the business capability of our network: • Need to establish a joint identify first “establish network” • What does this mean and how is it defined • Think about ways to do the work regionally before and LLC • Those who are interested are agreeing to participate in pricing
