Introduction Our goal is to help you assist your academic customers who may have purchased a PC without genuine Microsoft ® Windows ® operating system software or discover they may have unlicensed Windows software. The purpose of this presentation is to provide you information on the Get Genuine Windows Agreement for Academic (GGWA-A) so that you can understand the offering, effectively market it to your customers, and participate in the licensing business opportunity. Beginning, November 1, 2009, customers with unlicensed PCs can get compliant with the latest Microsoft operating system available, Windows 7. Note: Each subsidiary should update with specific region or country information as required. 2

Background: Unlicensed and Mislicensed Opportunity 1Fourth Annual Global Software Piracy Study, May 2007, 2006 Worldwide Software Piracy Figures, Business Software Alliance 2Impact of Unlicensed Software on Mid-Market Companies, Harrison Group, April 2008 Economic Impact • Pirated software continues to be among the largest revenue competitors facing the industry, with an estimated opportunity cost of more than $40B annually1. • Piracy impacts legitimate businesses such as channel partners that have to compete with those selling counterfeit and unlicensed software • Research shows fully licensed businesses grow faster and are more profitable than those using a mix of genuine and unlicensed software.2 Successful companies make valuable long-term customers. Market Opportunity • PCs with unlicensed Windows software continues to be an enormous revenue opportunity for Microsoft partners. • The base of customers with existing PCs that need to become Windows compliant due to counterfeit or unlicensed scenarios is growing. • Customers want a solution that will allow them to easily bring multiple PCs into compliance, and to acquire a solution in a way that is familiar to them using their established channel provider. 4

GGWA-A Highlights • GGWA-A is available worldwide for resellers to offer to academic customers with PCs that need to become compliant with genuine Windows software. • GGWA-A: • Is tailored to meet the needs of academic institutions that usually purchase and deploy Microsoft software through the Volume Licensing for Academic program. • Is available for Windows 7 Home Premium beginning November 1, 2009 (off the Volume Licensing price list). • Once acquired, customers can acquire a new Windows Upgrade license through a qualifying Microsoft Academic Volume Licensing program or use an existing Windows Upgrade license to deploy the Windows version that best meets their needs. • Software Assurance is not available, but it can be added to a Windows Upgrade license. • Customers are not required to sign a contract but they commit that future PC purchases containing Windows software will be genuine Windows software. • GGWA-A Terms and Conditions also include the Academic Open License agreement terms and conditions. Note: While the customer is not ordering through the Open License or receiving an Open Authorization for the Open License program, the terms and conditions are included because many academic customers are familiar with them. • Customers receive no media or bits fulfillment. The GGWA-A purchase is intended to qualify customers to rightfully purchase upgrades through Volume Licensing. 6

GGWA-A Offering Overview The table below provides a summary of the GGWA-A offering. *Note: While the customer is not ordering through the Open License or receiving an Open Authorization for the Open License program, the terms and conditions are included because many academic customers are familiar with them. 7

  8. 8 Ordering Process Distributor provides the reseller with a copy of the GGWA for Academic Addendum and Academic Open License Agreement to present to the customer. Contract is available on Explore.ms Customer provides their contact information, including e-mail address. No signature is required. Reseller sends agreement to the distributor for onward submission to the ROC. The ROC activates the agreement, and the customer receives electronic activation notification with the Agreement Number.   9. 9 GGWA-A: Supplemental Agreement . • Distributors are asked to make GGWA Supplemental Agreement for Academic available to their resellers to physically present to customers at the time of the transaction. • Note: The GGWA-A Addendum is not electronically visible to customers. The reseller should present the GGWA agreement and the Academic Open License agreement to the customer so they fully understand the agreement terms.

  11. How is GGWA-A ordered? GGWA-A is available through the Volume Licensing for Academic program, however, it is not on the price list. Contact Microsoft Partner Account Managers (PAMs) and ROCs for more information. At the time of the transaction, show the customer the Addendum to the Academic Open License Agreement, which you can get from your distributor. The customer does not need to sign the addendum. Please note: Because GGWA-A licenses are non-returnable, we suggest that you place GGWA-A orders separately from other orders under the same Volume Licensing for Academic Agreement. What is the next step? Once customers have purchased GGWA-A, they can acquire Windows Upgrade licenses through any Academic Volume Licensing program for which they qualify, including: Campus Agreement (for higher education) School Agreement (for primary/secondary education) Open License for Academic Select License/Select Plus for Academic Q Q Frequently Asked Questions A A 11

  12. Does GGWA-A come with media? If not, how do my customers acquire media? No. GGWA-A licenses do not come with media because GGWA-Academic only qualifies academic customers to acquire Windows Upgrade licenses through the appropriate Volume Licensing program. Once customers properly license the underlying operating system through GGWA-A, they can acquire a new Windows Upgrade license through Microsoft Academic Volume Licensing or deploy an existing Windows Upgrade license. The Upgrade licenses give customers a chance to acquire media or download bits for the upgrade version of Windows. Can software licensed through GGWA-A be enrolled in Software Assurance? GGWA-A products are not eligible for Software Assurance. However, customers who purchase GGWA-A are eligible to acquire a Windows Upgrade license, to which Software Assurance can be added.   13. Are downgrade rights available for GGWA-A purchases? GGWA-A is intended to correct improper licensing situations on the base qualifying OS only. It is not intended for deployment but is to qualify customers to acquire upgrades through Academic Volume Licensing Agreements. After the upgrade is purchased, customers may downgrade as outlined in the Product Use Rights and Product List associated with the upgrade purchase. Are returns or refunds permitted on GGWA-A purchases? No, returns or refunds are not permitted on GGWA-A purchases. Q Q Frequently Asked Questions A A 13
