  2. Why to investin renewable energy market? One of the fastest growing sector of Polish economy, boosted by subsidies and prefer loans. High potential areas include, among others: wind energy, biomass, biogas,rential co-generation based on natural gas as well as energy saving and smart grid solutions. What does the Clean -Tech market require in Poland? • an innovative approach by banks and funds, • financial tools which will ensure the start and development of projects, • flexible adaptation to individual needs of investors. What is BEP looking for? • Wind, waterorbiogassprojectsat the planning permission stage or without planning permission if the developer is ready to co-finance this phase of the project • Co-generation projects, in a system with a business partner, as well as in cooperation with local Heat Supply Companies (PEC) and/or local governments • Biomass projects, waste recycling, new green-tech technologies • Energy saving, smart grid solutions • Projects with CAPEX from EUR 2,5 mio to 50 mio- to be implemented for/with the final buyer

How does BEP operate? • Purchase of shares/stocks in existing/new SPV – (total or partial) takeover of commenced projects or purchase of the project – together with the other financial investor • Selectionof potential end users – conditional agreement based on turn-key approach • Organizationof the process (loans, technology, contractors, etc) • Constructionprocess 5 . Disinvestment strategy after completion of the project: • selling shares to a sector investor („end user” - e.g. utility/energy companies in case of renewableenergy sources) or a financial investor (funds), • reselling shares to other partners involved in the investment, • MBO/LBO • introducing the company on the regulated market e.g. IPO .

  8. What is BEP’s investment experience? 3 renewable energy projects initiated in 2011: • 2 wind farms and biomass plant. • total net capex of our projects is 130 mio. PLN (over 30 mio EUR) • total amount of financing granted by BOŚ Capital Group (bank + BOŚ Eko Profit)for all 3 projects is 95 mio PLN (over 22 mio EUR). • BEP’s average ROI is 28% yearly. Our experience and business approach is appreciated by BOŚ bank that granted all of BOŚ Eko Profit partners long term loans. In addition several projects consulted re.financing and renewable energy.
