  5. License Grant 2.1License Grant. Autodesk grants You a non-sublicensable, non-exclusive, non-transferable, limited licenseto use … Software and User Documentation in the Territory in which you acquire the Software, … within the scope of the License Parameters.

License Parameters – License Types 2.2.1 Standalone (Individual) Version one license and one serial # installed on one computer 2.2.2 Multi-Seat Standalone Version Multiple licenses tied to one serial # for products installed on multiple computers 2.2.3 Network Version Multiple licenses tied to one serial # and dynamically allocated to multiple computers; dynamic license pool; license borrowing from the server up to the maximum number of concurrent users

License Parameters – Educational, Student and Evaluation Versions 2.2.4 Educational Institutional Version. … may only be used for educational purposes and no other purpose 2.2.5 Student Version. … may only be used for personal learning purposes and no other purpose. 2.2.6 Evaluation Version (demo, trial or NFR). … may only be used for commercial evaluation and demonstration and not for competitive analysis, or commercial, professional or other for-profit purposes

  8. Upgrades 2.3 Upgrades • Upgrades available only to registered users • Previous version must be deleted/destroyed within 120 days • Autodesk may request proof of deletion/destruction

Permitted Actions: Backup • Installation of 1 backup copy permitted regardless of license type (Standalone or Network) • For Standalone Version backup copy to be accessed only if : • original not working and • Unable to otherwise access the Software • For Network Version backup copy to be accessed only if : • primary server is not working and • unable to otherwise access the Software

Permitted Actions: Use Away from Work Location • Only for Standalone & Multi-Seat Standalone Versions • For each permitted number of copies, one (1) copy away from work location can be installed provided that • Second Computer : • Is owned or leased by company and not employee • Is not a server and is a PC • Additional copy of Software : • Is used for work while away from usual work location • Is used by same employee • only 1 copy is accessed at any one time Work Home Backup

  11. Prohibited Actions - Transfers 3.2.3Transfers. You may not distribute, rent, loan, lease, sell, sublicense or otherwise transfer all or any portion of the Software and User Documentation without Autodesk prior written consent Refer to Transfer of License Policy

  12. Prohibited Actions :Hosting or Third Party Use • 3.2.4 Hosting / Third Party Use • You cannot install or access or allow installation or access of the Software + User Documentation over the internet. No Citrix!! • VPN Access for Network Versions not prohibited

  13. Prohibited Actions – Use outside of Territory • 3.2.9 Use Outside of Territory. You may not access the Software or User Documentation outside of the Territory • Territory: • country in which you acquire the Software • if country of purchase = EEA country, Territory = EEA • EEA (European Economic Area) = 27 EU countries + Iceland, Liechtenstein, Norway & Switzerland

  14. Who is the beneficiary of the License? • 2.1: “Autodesk grants YOU a … license …” • Who is “YOU”? • The individual who reads and accepts the EULA • The legal entity for whom the individual accepts the EULA

  15. Can I allow my subsidiaries to access the Software? • RULE: • NO: Autodesk license is entity based • Subsidiaries cannot use the Software purchased by parent. No “pool of licenses” • EXCEPTION: • GNUL (Global Network User License – min. 50 seats) • EEA License Project for Major Accounts on hold

Can I allow Third-Parties to access the Software? • Third Parties • Commercial Users • IT Service Providers • RULE: NO • EXCEPTION: • Third Parties may be granted access in limited circumstances: • only for the benefit of EU and on EU facilities • solely for installing & maintaining the Software at EU locations, providing support services, fulfilling obligations

Can I use the Software outside of the country of purchase? • RULE: • NO: Autodesk license is territorial and can only be used in the country of purchase • EXCEPTIONS: • if Software purchased in the European Economic Area (27 EU countries + Iceland, Liechtenstein, Norway & Switzerland) use is authorized in any EEA country • GNUL • If EU under Subscription temporary use outside of the country of purchase for 90 days

Can I sell or transfer my Software? • RULE: • NO (EULA 2.1 and 3.2.3) unless Autodesk prior consent • No transfer for Educational, Student and NFR • EXCEPTIONS: • TOL Policy - 7 Permitted Free Transfers of Licenses • Company sale (1), merger (2) and acquisition (3) • Parent company to Subsidiary – if Major Account (4) • Dissolution of a Partnership (5) • Privatization of license owner (6) • Donation to non-profit organization (7) • Individual transfer approval in limited circumstances

  19. Can I purchase an Educational Version for my Training Center? RULE: Institutional Version of the Software cannot be used for commercial, professional, commercial training or other for-profit purposes. This rule also covers educational institution who offers evening courser for professionals. Exception: Universities that offers full time degree seeking courses and charges for it. Scenario above assumes not ATC and using Education Version

  23. Home Use - What is it? • Home Use is an exclusive benefit for Subscription customers that allows their employees to install a second copy of software at a second location away from the office. Home Use licenses must be used by the same user who uses an office copy and the total amount of licenses must not be more than they have purchased.

  24. Home Use - What is it? • Some Conditions • Produce work for the employer • Own education or training needs • Commercial licenses(NOT Educational or “NFR” Not for Resale) • Most Autodesk products are eligible (LT – Verticals) • Current Subscription contract

Home Use - How Does It Work? • Stand Alone Licenses • Contract Manager/Software Coordinator complete a few steps • Accept the Ancillary Services Agreement • Use the original Autodesk media, then use the existing serial number to obtain the appropriate authorization code. • No approval needed, although you must accept the Ancillary Service terms for Home Use on Subscription Center.

Home Use -Network Licenses • Contract Manager/Software Coordinator complete a few steps • Accept the Ancillary Services Agreement • Complete the online Home Use Application and submit to Autodesk for approval • If approved, Autodesk will issue a 13-month time bound standalone license based on the network license.
