Obligations of Broker Dealer 1.1 SE Bullion shall maintain all introduced accounts on a fully disclosed basis. 1.2 SE Bullion shall perform all cashiering functions for accounts and will hold all monies received from customers in an account specifically designated for ”Client Funds”. 1.3 SE Bullion shall provide access to, introduced clients or their designated trader, SE Bullion online FX trading platform for Foreign Currency and commodity contract execution. 1.4 SE Bullion is now and will remain a member in good standing of the FMA 1.5 SE Bullion now and during the term of this agreement will remain, in compliance with minimum financial and financial reporting requirements of the NFA. 1. 经纪自营商的义务 1.1 SE Bullion 在完全获取客户信息披露的前提下, 维护所有被介绍客户账户. 1.2 SE Bullion全权管理客户资金, 幷将所有接收到的客户资金全额存入指定的”客户资金”账户. 1.3 SE Bullion 将会提供介绍客户或他们指定的交易员网络交易平台, 用于进行外汇合约的交易买卖. 1.4 SE Bullion 目前在 FMA 保持良好的信誉记录, 并会一直保持下去. 1.5 SE Bullion 在本协议生效期间, 将会保证达到 FMA 的最低财务要求,并按时提交财务报告. Obligations of IB 2.1 Introducing Brokers conduct hereunder shall at all times be in compliance with applicable law. 2.2 Introducing Broker shall maintain its own compliance and supervisory procedures which are adequate to assure compliance by Introducing Broker and its employees and agents, with applicable law, including compliance with Anti-Money laundering requirements under the NZ Patriot Act. 2.3 IB shall have clients complete all account documentation supplied by and required by SE Bullion. IB shall not alter SE Bullion documents in any way. 2.4 IB shall learn all essential facts relative to each Account and to every Customer. Each account created for a customer shall be approved in writing by a principal of the Introducing Broker. 2.5 IB shall be responsible for determining the authenticity, accuracy and genuineness of all certificates, papers and signatures received with respect to an account. 2.6 IB agrees to assist SE Bullion in its inquiries and comply with any reasonable request for information by SE Bullion in relation to an introduced account to be disclosed to SE Bullion. 2.7 Introducing Broker shall not guarantee any customer against loss or a margin call in an Account or in respect of any transactions effected with or for such Customer. 2.8 IB shall be responsible for handling and resolving all Customer inquiries and complaints relating to the Accounts and shall notify SE Bullion and receive SE Bullion’ cooperation with respect to inquiries and complaints relating to services provided by SE Bullion. Notwithstanding the foregoing, SE Bullion shall have the right, in its sole discretion to handle and resolve such inquiries and complaints, including inquiries received directly by SE Bullion, and including, without limitation, the right to settle any such complaints on behalf of SE Bullion and Introducing Broker. 2.9 IB shall not accept or hold in its name any money, securities or property to margin, guarantee or secure any trades, contracts or positions effected or carried in any account. All such money, securities and property shall be received on behalf of SE Bullion (and all checks shall be payable to SE Bullion) and shall be immediately transmitted to SE Bullion. 2.10 Introducing Broker shall not issue any advertisement, market letter or sales literature directed to any customer or containing the name of SE Bullion without prior written consent of SE Bullion. 2.11 IB shall disclose to Customer all commissions, mark-ups or any commission sharing arrangements.   4. 2. 中介经纪商的义务 2.1 中介经纪商应当在遵守当地法律的前提下, 履行以下义务. 2.2 中介经纪商需要通过自有的监管程序, 确保商业活动符合法规, 并能够约束下属经纪人、员工或中介的行 为, 法规包括了新西兰的反洗钱法相关要求. 2.3 中介经纪商辅助客户开户时, 需要确保客户完整提交SE Bullion 要求的全部客户数据以及表格. 中介经 纪商不得在任何情况下变更SE Bullion的文件数据. 2.4 中介经纪商必须全面了解每个客户的基本状况, 并在提交开户资料时由主管人员提交书面确认. 2.5 中介经纪商由义务确保开户文件以及证明、签字的保密性以及准确、真实度. 2.6 中介经纪商应当协助SE Bullion在合理范围内, 披露介绍账户的相关信息.中介经纪商应协助SE Bullion在合理范围内, 披露介绍帐户的相关信息. 2.7 中介经纪商不得对任何账户、客户提供赢利、保底承诺或追加保证金承诺. 2.8 中介经纪商负责处理、解答客户咨询以及投诉，并就相关投诉及时与SE Bullion 做及时沟通. 尽管如此, SE Bullion 仍保有独立解决客户直接投诉, 以及代表SE Bullion 和中介经纪商对投诉做出仲裁的权利. 2.9 中介经纪商不能自有名义持有客户资产、证券、保证金, 不能承诺收益或者以担保形式持有客户仓位. 全 部客户资产(包括现金支票)需要以SE Bullion 的名义直接接收. 2.10 中介经纪商需要书面通知SE Bullion并获得认可之后, 才可以在其广告或者宣传品中包含SE Bullion 的 标识或者字样. 2.11 中介经纪商必须对客户披露所有佣金、加点或者佣金分享的安排. 3. Compensation Arrangements for Introduced Clients SE Bullion shall pay IB’s rebates and earned commissions any time after the transactions are made , IB can take their commission where ever they needed. 3. 介绍客户的报酬待遇 SE Bullion将会对IB实行即时返佣制度，IB可以在旗下客户交易结束之后任何时间提取自己的佣金.   5. 4. IB Arranged Transactions In the event that IB effect transactions on behalf of an Introduced Client, such transactions shall be “IB Arranged Transactions”. No IB Arranged Transactions shall be accepted by SE Bullion. SE Bullion only will accept fund transactions directly from Introduced Clients. All IB Arranged Transactions will be returned deducted by related costs. 4. 中介经纪商汇款事宜 中介经纪商以客户名义, 代为汇款至交易账户的行为, 定义为”第三方汇款”. SE Bullion 不接受第三方汇款, 而只认可来自客户本人的直接汇款. 所有第三方汇款在扣除相关汇款费用后, 将被退回. 5. Commission Arrangements for Introduced Accounts Where it is agreed between any introduced customer and IB that introduced Customer shall pay IB a commission on trades, such commission shall be calculated in accordance with the provisions of this paragraph and shall be, either: 5.1 A fully disclosed mark-up is calculated in USD, and 1 pip equals to 10 US dollars. 5.2 A flat per contract USD commission fee, as specified by IB. 5. 介绍账户的佣金相关事宜 介绍客户与中介经纪商之间协议同意收取的佣金, 将根据以下内容的一个或者几个条款来进行结算: 5.1 加点均以美元结算, 每一个基点等值于 10 美元. 5.2 每一张合约收取的佣金数额由中介经纪商自行决定. 6. Warranties of IB IB warrants to SE Bullion that: It is empowered under its constituent documents to enter into this Agreement and to perform all obligations contemplated herein. 6. 中介经纪商的承诺 中介经纪商向SE Bullion 承诺: 将会严格遵照法令文件, 履行本协议内全部义务. Indemnification 7.1 Introducing Broker shall fully indemnify, protect and hold harmless SE Bullion, its directors, officers, shareholders, employees, agents, affiliates, and each person, if any, controlling SE Bullion from and against all manner of claims, demands, proceedings, suits, or actions (whether in law or in equity) and liabilities, losses, expenses, and costs (including Attorneys’ fees) in the event of: 7.1.1 SE Bullion complies with any instruction or order received from Introducing Broker or any Customer in respect to an Account, 7.1.2 Introducing Broker or any Customer fails to satisfy any margin requirement or to pay any amount due to SE Bullion, 7.1.3 Introducing Broker fails to perform its obligations or breaches its representations, warranties, and covenants hereunder, or 7.1.4 Any Customer institutes a claim, suit, action, or other proceeding against SE Bullion for any reason or any other governmental agency or self-regulatory organization institutes a claim, suit, action, or other proceeding against SE Bullion relating to this Agreement or any Account or Customer; provided, however, that SE Bullion shall not be entitled to indemnity in any such matter if and to the extent SE Bullion is found to have engaged in gross negligence or willful misconduct in the performance of its services under this Agreement. SE Bullion may, in its sole discretion, elect to assume the sole defense, including the settlement or compromise, of any such claim ，demand, proceeding, suit, or action instituted against SE Bullion and Introducing Broker, 7.2 SE Bullion shall be entitled to collect or secure any amount owed to SE Bullion hereunder by means, which shall include but not be limited to charging Introducing Brokers “house” account or setting off any amount owed to Introducing Broker by SE Bullion. Introducing Broker further agrees that, if any person or entity hasinstituted or threatened a claim, suit, action, or other proceeding against SE Bullion which reasonably could expose SE Bullion to any liability, loss, cost, or expense which is the obligation of Introducing Broker hereunder, SE Bullion is authorized to withhold an amount equal to the amount of any such claim, suit, action, or other proceeding from any amounts owed to Introducing Broker, or from any other funds, securities, or other property owned by Introducing Broker on deposit with SE Bullion for any purpose until such claim, suit, action, or other proceeding has been fully resolved to the satisfaction of SE Bullion.   7. 7.3 If for any reason (other than the gross negligence or willful misconduct of SE Bullion as provided in Section 7.1) the foregoing indemnification is unavailable to SE Bullion then Introducing Broker shall promptly contribute the amount paid or payable by SE Bullion as a result of such claim, demand, proceeding, suit, or action or liability, expenses, and costs (including attorneys fees) in such proportion as is appropriate to reflect not only the relative benefits received by Introducing Broker, on the one hand, and SE Bullion on the other hand, but also the relative fault of Introducing Broker and SE Bullion as well as any relevant equitable considerations. 7. 保障条例 7.1 中介经纪商需要全力保证其申诉、需求、诉讼、商业行为, 以及相关支出不会伤害SE Bullion 公司、工 作人员以及相关机构的利益, 包含下列事件: 7.1.1 SE Bullion 执行操作的, 来自中介经纪商或者客户的, 针对某一账户的指令或定单, 7.1.2 中介经纪商或者客户不能及时追加保证金, 或偿付拖欠SE Bullion的款项, 7.1.3 中介经纪商不能履行义务或者违反协议条例, 或 7.1.4 客户针对SE Bullion的投诉或者诉讼(包含来自新西兰证券交易委员会、或其它政府机构、自律监管 机构提出的诉讼、调查); 此类情况如若出现, SE Bullion 会寻求专门辩护, 并拒绝赔偿, 7.2 SE Bullion 有权通过一切合法途径收取或确保获取到拖欠本公司的款项, 手段包括但并不限于从经纪商 佣金余额中扣除. 如中介经纪商的过失或过失引起的相关诉讼造成SE Bullion的损失, SE Bullion有权 从中介经纪商的权益金余额款项中扣除对应数额, 直至SE Bullion 完全满意该损失完全弥补或相关诉 讼最终结束. 7.3 如果出于任何原因(除却 7.1 条例中未包含的严重疏忽或行为失当), SE Bullion 不能收取到应得偿付, 中 介经纪商应主动予以偿还. 本条例的偿付条款是出于甲乙双方的收益公平性考虑, 以体现双方在履行 义务中的重要性. Exclusion of Liability SE Bullion shall not be under any obligation whatever, and remains free in its absolute discretion, to accept or refuse as a client any referred Person and to undertake or refuse to undertake any transaction with any referred Client. For the avoidance of doubt IB will not be the IB of SE Bullion and shall have no authority to bind SE Bullion in any manner whatsoever except where expressly provided for herein. Nothing in this agreement shall be construed as creating a partnership between SE Bullion and IB. No failure or delay on the part of SE Bullion to exercise any power, right or remedy under this Agreement shall operate, as a waiver thereof, not shall any single or partial exercise by SE Bullion of any such power, right or remedy. The remedies provided in this agreement are cumulative and are not exclusive of any other remedies provided by law or otherwise. 8. 免责声明 SE Bullion 没有接受客户开户申请的义务, 有独立的决定权是否为某一客户提供交易服务, 或者是否执行该客户的 交易指令. 为规避歧义, 中介经纪商不属于SE Bullion, 而且本协议幷未保障中介经纪商对SE Bullion 有任何形式的 约束力. 本协议中的任何条款都不应被理解为SE Bullion 与中介经纪商建立了合伙人关系. SE Bullion 在本协议中的权益或补偿未能及时履行或实现, 不能被视为自动弃权, 直至全部权益、偿付清偿为止. 本协议中的偿付具有累计性, 且对其他法规中的偿付不具有排他性. 9. Termination This Agreement may be terminated: 9.1 At any time by either party giving one month’s written notice of termination to the other, 9.2 Forthwith by notice served by one party upon the other party is placed in liquidation or if that other party becomes insolvent or bankrupt or if that other party makes or enters into a composition for the benefit of its creditors or appoints or suffers the appointment of a receiver or receiver and Manager over all or a substantial part of its affairs, 9.3 Immediately in the event that any warranty given by the IB shall, in the reasonable opinion of SE Bullion, to be untrue or misleading in any material respect, 9.4 Immediately upon notice of any breach in the terms of this agreement. Not withstanding the above, the terms of this Agreement shall continue to apply to all transactions entered into before such termination takes effect.   9. 9. 协议终止 本协议在下列情况中可能被终止: 9.1 甲乙双方由任何一方提前一个月以书面形式进行通知, 9.2 如甲乙双方中任一方破产倒闭或者公司资产被其它实体接管, 9.3 SE Bullion有充足理由相信中介经纪商提供了虚假或误导性宣传材料, 本协议立即终止, 9.4 如有任何违反本协议的行为出现, 本协议立即终止. 除上述协议终止条例外, 本协议的条款仍继续对本协议终止前发生的交易有效. 10. Assignment This Agreement may be assignable only by mutual agreement between the parties and upon receipt of any required regulatory notice by the appropriate party. 10. 转让 如甲乙双方同意并通过监管确认, 本协议可以是可以转让的. 11. Languages Any Interpretation of this document is governed by the English version.
